Insurance

Mintz Levin’s Insurance professionals provide quality advice to its life and property/casualty clients in the insurance industry.

Many of our insurance clients are very familiar to the consumer and are, in fact, household names. Others, who may not be as widely known to the consumer, such as our reinsurance clients, are not only well-known, but are highly regarded in the insurance industry.

Our attorneys handle a variety of legal and counseling work for financial services institutions of all kinds, including financial holding companies, insurance companies, local and national savings banks and mortgage companies. Among the areas in which we serve these clients are litigation, regulatory matters, commercial lending, corporate and financial transactions, reorganizations/bankruptcies, transactional risk abatement, and employment and benefits issues.

Coverage Experience

Mintz Levin has been handling complex and sophisticated coverage cases for more than two decades, including novel coverage and liability issues as they have emerged, such as bad faith, tobacco, sick building syndrome, environmental pollution, asbestos and other exposure torts. Our practice includes the representation of insurers in coverage matters with independent agents and reinsurers, litigating declaratory judgment actions; rendering coverage opinions, and handling the range of commercial coverage cases.

Regulatory

As part of our insurance practice, we advise clients on regulatory issues in the property and casualty and workers' compensation arenas, including underwriting and marketing, claims handling, agency licensing/termination and ratemaking. With our unique experience in the heavily regulated Massachusetts insurance environment, we assist national and local carriers in planning and strategic decision-making in order to gain necessary approvals.

We are also familiar with banking regulations in all of the New England states, as well as those in New York and New Jersey, in addition to Federal regulations of the Office of Thrift Supervision, Comptroller of the Currency, Federal Reserve Board and the Federal Deposit Insurance Corporation.

Corporate Matters

We advise our clients in the context of product design and development; policy drafting, mergers and acquisitions, corporate reorganizations, relationships with brokers and agents and third-party administrators, insurance securitizations, and miscellaneous corporate matters.

SEC Issues

Attorneys from several of the firm's practice areas have represented numerous public financial institutions in '34 Act compliance, compliance for employee benefit plans (ESOPs, DRIP, 401(k), ESPP), stock repurchases, SEC audits, and public offerings of securities.

Commercial Lending

We have significant experience in putting together asset-based financing transactions. We represent a number of national financial institutions, as well as corporate and public borrowers. Attorneys in the firm have considerable experience representing banks in connection with commercial loans.

Employment, Labor and Benefits

We have represented brand-name financial institutions with respect to all benefits, executive compensation and prototype plan product work, including development and implementation of products, as well as counseled clients with regard to fiduciary and other questions arising under ERISA and OCC regulations.

Litigation

Mintz Levin's litigation experience for insurance companies and other financial services organizations includes national consumer class action and securities litigation defense, products liability and toxic substance claims, insurance and reinsurance coverage disputes, and bad faith litigation.
