Benefits and Compensation

Mintz Levin's Benefits and Compensation practice offers a team of experienced and skilled lawyers dedicated to meeting clients benefits and executive compensation needs by providing informed, practical advice and staying current on the most recent changes in the law and compensation practices. Our Benefits Practice Team works with clients on the design, development, implementation and administration of employee benefits and executive compensation programs. In addition, the Benefits Practice Team helps clients respond to compliance and operational issues arising under the Employee Retirement Income Security Act of 1974 (ERISA), the Internal Revenue Code and state law, when applicable. The benefits team also works with other lawyers at Mintz Levin, in addition to outside professionals on transactional, bankruptcy and litigation matters involving employee benefit and executive compensation programs.

Transactional Benefits Practice
Our transactional benefits practice focuses on proactively addressing benefits issues when a corporate acquisition is in the process of being planned and negotiated, not just as an afterthought once the purchase agreement has been signed, including:

  • Assessing and mitigating benefit plan and executive compensation liabilities;
  • Advising clients on transition strategies;
  • Retention of key employees; and
  • Consulting on the impact of benefits and compensation programs on the transaction.

Executive Compensation Practice

Our executive compensation practice focuses on all aspects of compensation including, but not limited to, the following:

  • Designing and implementing equity-based compensation arrangements, including qualified and nonqualified stock option programs, issuance of restricted stock, and grants of stock appreciation rights;
  • Creating deferred compensation agreements and analyzing executive compensation plans;
  • Insurance products and golden parachute restrictions; and
  • An executive's personal and estate-planning goals.


Tax-Exempt Employers and Financial Services Companies
Our Benefits Practice Team has significant experience advising clients on the unique needs of tax-exempt entities and financial services companies including health care providers, hospitals, colleges and universities, banks, insurance companies and mutual fund groups.
