Spotlight On … Faith Charles
Faith is a member of the firm’s New York office where she practices in the Business and Finance Section. A significant portion of her work involves handling all aspects of public offerings and private placements, representing issuers, underwriters and placement agents. She is frequently engaged by emerging growth companies for pre-public-offering counseling and by established companies in connection with a variety of general corporate and securities law matters. Faith also has experience representing sellers and purchasers in asset, stock and merger transactions, and assisting clients with the negotiation and structuring of joint ventures, strategic alliances and licensing agreements. In addition, she regularly provides counsel to companies needing access to the networks of venture capitalists and investment bankers who influence venture capital and public markets. Traditionally, her clients have been involved in various business areas, including media, life sciences, electronics and computer software, internet services, consumer products, and manufacturing. Faith’s frequent exposure to the life sciences industry has also sparked her interest in the clean tech space, and she is increasingly focusing her practice on environmental and technology issues both domestically and abroad. Faith has recently been advising an international solar company, and she is looking forward in the future to utilizing her expertise on the vital businesses associated with renewable energies and sustainable living.
Faith is admitted to practice in New York and is a member of the Association of the Bar of the City of New York. She received her B.A., cum laude, from Barnard College (1983) and her J.D. from George Washington University Law Center (1986).

DOE’s Entrepreneur in Residence Program
Application Due Date: December 21, 2007
The Entrepreneur in Residence (EIR) Program will bring venture capital sponsored entrepreneurs into three of DOE’s National Laboratories to develop plans to commercialize new clean energy technologies. The entrepreneurs in residence will identify technologies that, when commercialized in private sector companies, will contribute to DOE’s mission to promote America’s energy security through reliable, clean and affordable energy.
The EIR program seeks to identify and develop business cases to commercialize promising laboratory technology and give proven start-up entrepreneurs the opportunity to work directly with technical management and staff at a National Laboratory. Selected entrepreneurs would conduct technology assessments, evaluate market opportunities, formulate preliminary business cases and propose business structures for start-up enterprises, as well as recommend policy and business practice modifications to the National Laboratories to refine their approaches to moving technology into the commercial sector.
The National Renewable Energy Lab, Sandia National Laboratory and Oak Ridge National Laboratory will be the first DOE laboratories to host entrepreneurs in residence. As a first step in the program, DOE will sup port the work of three entrepreneurs at National Laboratories. DOE will provide up to $300,000 funding to support this initiative.

The Renewable Fuels Foundation Offering
Its First Grants for Ethanol Production
The Renewable Fuels Foundation (RFF) Board of Directors funds those research projects that have clear goals and measurable outcomes with benchmarks that will advance the science of ethanol production. While sound research should be the basis for all grant applications, the RFF will only support projects that directly enhance domestic production of ethanol and the efficient use of co-products. One grant will be awarded for $150,000, of which $75,000 will be made available over two years. Viable projects may qualify for continued funding past this time frame.
Research project proposals must have a national implication, not local. The RFF prefers to fund national model projects, thereby making a bigger impact to the U.S. ethanol market.

SEED 2007
Call for Renewable Energy Company Applicants
The Massachusetts Technology Collaborative
The Massachusetts Technology Collaborative, a quasi-state agency,
established the Sustainable Energy Economic Development (SEED) initiative
to support growth and commercialization of renewable energy technologies
in Massachusetts. SEED provides direct and flexible capital to early-stage
companies for new renewable energy related product development and
facilitates companies in gaining access to private capital. The
award amount will be up to $500,000 per company per 12-month period,
up to two awards per Massachusetts company, and SEED is accepting
applications on an open enrollment basis.

Business Expansion Initiative
Business Expansion Initiative (BEI) supports the development and expansion of the production capacity of renewable energy technology firms in Massachusetts. BEI provides secured debt capital to expansion-stage companies for new renewable energy product design and manufacturing financing. BEI loans may only be made to companies located within Massachusetts.

Predevelopment Financing Initiative
The Massachusetts Technology Collaborative
The Massachusetts Technology Collaborative Board of Directors has
approved this round of the Clean Energy Predevelopment Financing
Initiative in an effort to support the development of grid-connected
renewable energy generating facilities in New England. As of October
1, 2005, $1,574,934 has been committed to projects supported by
this solicitation. Two types of funding are available under this
solicitation: funding for feasibility studies and funding for pre-development
activities (e.g., facility design, environmental studies,
permitting, and similar activities). Funding for feasibility studies
is available only to public instrumentalities and private nonprofit
organizations, and takes the form of grants of up to $50,000 to
public instrumentalities, and unsecured loans of up to $50,000 to
nonprofit organizations. Funding for predevelopment activities is
available to public instrumentalities, private nonprofit organizations
and private for-profit corporations or partnerships, and takes the
form of an unsecured loan of up to $250,000 for wind and biomass
projects, or up to $150,000 for other types of renewable energy
projects.
