Anthony provides general corporate law and business advice to public and private corporations with regard to financings, mergers and acquisitions, tender offers, corporate governance, public disclosure, and federal and state securities law compliance.
He has represented individuals, businesses, venture capital firms, and private investors in corporate financing matters, including the private placement of equity securities, refinancings, and recapitalizations. He has advised clients operating in a variety of industries, including computer hardware and software, medical device, insurance, consumer products, direct sales, Internet access services, and financial services.
Anthony regularly advises our nonprofit organization clients with respect to formation and their pursuit of federal tax-exempt status, corporate governance, fiduciary duties, executive compensation, charitable solicitation compliance, and charitable and volunteer immunity. He also counsels these organizations with respect to their social enterprise, lobbying and political campaign, and investment management activities. Anthony also counsels our nonprofit organization clients involved in merger transactions, dissolutions, spin-offs, and other transfers of charitable assets.
His practice also includes negotiating business arrangements, providing advice to boards of directors and senior management concerning a broad range of matters, including shareholder meetings and proxy contests, and coordinating executive compensation programs and stock-based incentive plans.
Before joining the firm, Anthony served as general counsel to a publicly traded apparel retailer.
