Sarah Hogan advises biotechnology, health care and technology companies in all stages of maturation on commercialization of their technology and intellectual property assets, including counseling with respect to collaborations and strategic alliances, technology development and acquisition, outsourcing, licensing and other corporate partnering transactions. Sarah’s clients are companies of all stages of their life cycle, including start-up companies seeking funding, venture capital and private equity backed companies, privately held businesses, hospitals, non-profit research organizations and large public companies. This diverse range of clients gives Sarah a perspective from all sides of a transaction, which helps her advise clients on the practical implications of various aspects of each transaction to assist clients in meeting business objectives while, at the same time, balancing legal risk. Sarah also has an in-depth understanding of the implications of each deal on likely downstream transactions, for example, the implications that terms of a university license may have on a future collaboration deal, financing transaction or acquisition.

Sarah is a former scientist with degrees in biotechnology and genetics and comprehensive life sciences industry knowledge. She also has a passion for new technology, and can often be found beta testing her clients’ products or combing industry publications. 

Prior to joining Mintz Levin, Sarah practiced at a startup and venture capital focused law firm in the Boston area. In her previous practice, she was frequently in the position of representing small start-up companies in transactions opposing Fortune 500 companies. Sarah also has experience assisting clients in managing relationships with counsel engaged on other matters, including counsel advising on regulatory issues, privacy concerns, international matters, intellectual property protection, litigation and employment matters.

  • Negotiated strategic collaborations with major pharmaceutical companies on behalf of biotechnology companies and non-profit research institutions
  • On behalf of early-stage biotechnology clients, negotiated university licenses that would become the basis for such clients' technology, as well as related sponsored research agreements
  • Negotiated supply agreements on behalf of biotechnology companies in all aspects of the supply chain, from manufacture of API and other drug product intermediates, to manufacture and packaging of final drug product
  • Provided counseling on commercialization strategy to a client offering a cloud-based clinical trial management solution and structured, drafted, and negotiated resulting technology license agreements opposing major pharmaceutical companies and contract research organizations
  • Negotiated license of diagnostic test technology to a major international diagnostic testing laboratory

Health Care

  • Negotiated SaaS agreements for the delivery of subscription-based data analytics products
  • Structured and negotiated a transaction on behalf of a large hospital system on the procurement of an enterprise-wide data warehouse system and associated implementation and development collaboration
  • Responsible for negotiating all health IT contracts on behalf of a Massachusetts hospital system
  • Negotiated several distribution arrangements between an international diagnostics and laboratory services company and various EHR companies for the provision of integrated services to customers


  • Structured and negotiated textbook content licensing agreements with major publishing companies on behalf of a startup company offering a notetaking platform
  • Structured and negotiated joint development and licensing agreement on behalf of software provider for inclusion in a consumer product
  • Negotiated arrangements with major hosting services providers (both in private and public cloud and dedicated server locations)
  • Structured, drafted, and negotiated technology license agreements opposing Fortune 500 software companies on behalf of several clients offering cloud-based IT infrastructure services
  • Negotiated numerous deals on behalf of a start-up company offering a social-media analysis service, many of such deals opposing multiple major media outlets and networks
  • Negotiated several multimillion-dollar cross-border software license agreements for a client offering a software product for managing virtualized data centers and cloud environments
  • On behalf of a start-up company client focused on producing renewable energy from organic waste, structured, drafted, and negotiated agreement to license technology that would form the basis of a the company's technology
