Securities Client Alert: SEC Proposes Accelerated Filing Deadlines, Website Access Disclosure, and 8-K Disclosure of Management Transactions

This alert describes two sets of rule amendments that the SEC published for comment that would affect many public companies' disclosure obligations under the Securities Exchange Act of 1934. One of these rules proposes to accelerate the deadline for certain companies for filing deadlines for annual reports on Form 10-K and quarterly reports on Form 10-Q  and to require certain disclosures with regard to where investors might access company filings. The second rule proposes to require public companies to disclose in a Form 8-K, on an accelerated basis, directors' and executive officers' financial transactions involving the company. The client alert details the significant elements of these two rules and includes suggestions for addressing the rules' requirements should they be adopted in their proposed form.
