Antitrust Client Alert: Important Changes to the "HSR" Notification Rules

Legislation signed by President Clinton on Thursday, December 21, 2000 changed the thresholds that trigger antitrust filing requirements for deals that close February 1, 2001 or later.  The Federal Trade Commission (FTC) will still require notification of reportable transactions under the Hart-Scott-Rodino Act (HSR), but the dollar amounts that trigger filings, as well as the fees, have been increased.  In addition, the new law allows for adjustments to all the thresholds in the requirements.  This client alert discusses this new legislation.
