Many life-science firms find that they own valuable pipeline technology and products in development without the resources or inclination to further develop them. By organizing start-up companies around such items and outlicensing what is needed to further develop the products, the more established life-science firm may be able to retain significant upside and assure that its technology and development products are further exploited. Such mature companies may also spin out divisions or implement other strategies to launch public or private companies to enhance product growth while also retaining significant upside interest.

Joel I. Papernik

Joel is a Member in Mintz Levin’s New York office, where he practices in the Corporate and Securities groups. Joel has extensive experience counseling high-technology businesses and the individuals creating them. Joel frequently guides acquisitions, collaborations, and licensing transactions in the biotechnology field. He is a member of his firm’s Policy Committee, co-chair of the firm’s Mergers & Acquisitions practice, and is a member of its Opinions Committee. Joel has been selected for listing in the 2007 edition of The Best Lawyers in America, and in 2007 was named one of “New York Area’s Best Lawyers” in New York Magazine. Joel was also named a 2007 “New York Super Lawyer” in The New York Times. He currently serves on the Securities Law Committee of the NYSBA, the TriBar Opinion Committee, and the negotiated acquisitions committee of the ABA. He is currently a board member for the New York Biotechnology Association.

Robert J. Easton

For over 25 years, Bob Easton has been recognized as a world-wide leader in healthcare business consulting. He is currently Chairman of Easton Strategy, LLC, and has built and led two top firms, The Wilkerson Group and Easton Associates. He has mentored a whole generation of medical industry leaders, influenced the decision-making of numerous healthcare professionals, and supported hundreds of client executives in Australia, Japan, Canada, the United States, Europe, and Israel. He holds a Harvard MBA and a BS in chemical engineering from Rice University. His interest in healthcare began when he managed a medical diagnostics business for Union Carbide. Bob has been highly visible in the industry, having written and spoken about multiple industry issues in scores of venues. He has served on eight medical company boards including Apex Bioventures, CollaGenex, and Cepheid. He also serves as Chairman of Gilda’s Club of New York City.

Stephen Sands

Stephen is a Managing Director of Lazard Freres & Co. LLC and is Global Co-Head of Healthcare Investment Banking. Stephen has advised some of the largest pharmaceutical and biotechnology transactions ever done including Pfizer’s acquisition of Pharmacia and Warner Lambert, UCB’s acquisition of Schwarz Pharma and Celltech, Hoechst on the formation of Aventis and the acquisition of Wellcome by Glaxo. He has also provided financial advice to leading biotech/specialty pharma companies such as Abraxis, Alpharma, Biogen, Imclone, OSI, MGI, Rosetta, and ViroPharma. Prior to joining Lazard in 1994, Stephen was a Partner in the healthcare practice of McKinsey & Company. He also served as Director of National Imaging Associates, Inc. (Magellan) and Isogen LLC (Monsanto). Stephen is co-founder of two biotechnology companies—Enzytech and Opta Foods—where he served as Vice President, Business Development, and Treasurer. Stephen received a BA in biology from Oberlin College, a BS and MS in chemical engineering from Washington University in St. Louis, and an MBA in Finance from New York University.

Barbara A. Wood, Esq.

Senior Vice President, General Counsel and Secretary
OSI Pharmaceuticals, Inc.

Barbara A. Wood, Esq. is currently the Senior Vice President, General Counsel, and Secretary of OSI Pharmaceuticals, Inc., a biotechnology company focused on developing therapeutics for cancer, eye disease, and diabetes. Ms. Wood joined OSI in 2001. Barbara was a partner in the Corporate Department of the New York office of Squadron Ellenoff Plesent & Sheinfeld LLP (now Hogan and Hartson LLP) where she began her legal career in 1987. Her areas of expertise encompass mergers and acquisitions, complex licensing and collaboration agreements and transactions, private and public securities offerings, venture capital investments, and the formation of joint ventures and partnerships. Ms. Wood holds a Bachelor of Arts degree in classics and economics from Connecticut College and a JD from Columbia Law School in New York where she was a Harlan Fiske Stone Scholar.
