    We have been antitrust counsel to CVS — now CVS Caremark Corporation — since 1986. Our team has represented CVS in its transactions (including the combination of CVS and Caremark), in litigation, and in other matters before both state and federal antitrust authorities.

Bankruptcy, Restructuring & Commercial Law

  • Precedent-Setting Trade Claims Case
    After a trade claim purchase deal went sour, our client, a global manufacturer, terminated negotiations with one investment bank and sold its trade claims to another bank. The first bank then sued our client, claiming that the parties had a binding agreement based upon the draft documents exchanged or, alternatively, that there was a binding oral agreement based upon the customs and practices in the claims trading industry. The case was intensely litigated, including witnesses from across the United States and abroad as well as expert testimony on the industry and its customs. In a decision that now serves as a guide for the operation of trade claim market and the interaction of parties in the industry, a district court granted summary judgment to our client, dismissing claims of breach of contract, breach of the duty of good faith, and fair dealing.

  • Represented Boston Biomedical, Inc. (BBI) in its sale to Dainippon Sumitomo Pharma Co., Ltd. (DSP) for up to $2.63 billion in total, which included $200 million upfront, up to $540 million in development milestone payments, and up to $1.89 billion in sales milestone payments.

Employment, Labor & Benefits

  • World’s Leading Provider of HR solutions
    We represented our client, an HR solutions company, in Massachusetts federal court on claims for federal and state overtime violations. We obtained dismissal of the plaintiffs’ claims alleging nonpayment of overtime and training time wages to temporary pickup and delivery drivers who claimed joint employment by our client and a large logistics services company.

Environmental Law

  • Defense in Federal Allegations of Hazardous Waste Disposal
    We defended GE against an allegation by the United States that GE arranged for the disposal of hazardous substances at the Fletcher’s Paint Works and Storage Facility Superfund Site in Milford, New Hampshire. This representation included participation in the submittal of an amicus brief in Burlington Northern v. United States. The US Supreme Court largely adopted GE’s position in holding that arrangement for disposal as defined in CERCLA section 107 requires proof of an intention to dispose of hazardous substances. Mintz Levin is also representing GE in connection with its compliance with a Unilateral Administrative Order issued to GE requiring the design and construction of the remedial action selected for Operable Unit 1 of the Fletcher’s Paint Works Site.

  • Obtained a successful initial determination and final determination at the US ITC of no infringement and invalidity in a five-patent case filed against our client in the semiconductor manufacturing industry.

  • Represented a manager of a Dutch petroleum services company in connection with an FCPA investigation, led by the DOJ in Washington, DC, relating to construction contracts in Latin America. Although the international company ultimately paid a fine, our client was not charged.

  • In a case featured in the National Law Journal as one of the top defense verdicts in the country in that year, we obtained a defendant’s verdict for our client and the client’s CEO, in the only securities class action case tried to a jury verdict in Boston in over 10 years.

  • Represented a private equity firm in one of the largest health care transactions to take place in Massachusetts. We negotiated to protect thousands of confidential and proprietary documents submitted to the Attorney General’s Office as part of its review and approval of the transaction.

  • Represented bondholders in restructuring of tax-exempt debt issued to finance development of military housing projects on US Air Force bases in Florida, Georgia, Arkansas, and Massachusetts.
  • Advised the Massachusetts Treasurer’s office on achieving as much standardization as possible in the state’s swap documents, a project that led to the negotiation of new ISDA master agreements with several counterparties.

    For more than 15 years, Mintz Levin has represented CVS Caremark Corporation in its acquisition, disposition, and sale and leaseback transactions involving more than 2,400 of the company’s retail properties located in over 40 states with an aggregate value in excess of $9 billion. CVS/Pharmacy, the retail division of CVS Caremark Corporation, is the largest retail pharmacy in the United States with over 7,400 CVS/Pharmacy and Longs Drugs stores.

    Recent Transactions
    • Represented CVS in the sale and leaseback of over 112 stores in 27 states, representing over $575 million in value
    • Represented CVS Caremark Corporation in the largest retail sale and leaseback transaction in the nation’s history, a transaction that involved 340 stores with an aggregate value of $1.5 billion
    • Oversee all aspects of CVS’s very complex sale and leaseback transactions, which involve both 144a and private placement financings
    • Oversee all aspects of transactions, including deal structuring, negotiating, and drafting the acquisition, leasing, and other transaction documentation, managing the land use and environmental diligence process, and overseeing the related securities law matters

White Collar Criminal Defense & Parallel Proceedings

  • Represented a Fortune 50 company under investigation by the federal government and 24 state Attorneys General for alleged violations of the False Claims Act regarding drug pricing matters. Despite two years of grand jury proceedings, we persuaded the government agencies not to pursue any criminal charges and subsequently negotiated a favorable civil settlement.
