On June 30, 2020, the Federal Trade Commission and the Department of Justice issued updated Vertical Merger Guidelines. The Guidelines underscore the agencies’ continued and enhanced focus on vertical mergers, resulting in such transactions facing more intense and lengthier scrutiny, potentially delaying closing. Although the final Guidelines reflect current agency practice, their issuance was not without some disagreement. This webinar, hosted by the American Health Lawyers Association, will provide background on prior antitrust agency vertical merger enforcement, an in-depth discussion of the new Vertical Merger Guidelines, and analysis on how these new Guidelines may impact vertical integration in the health care industry going forward.
