2025

Date: September 18, 2025

Time: 12:00PM - 1:00PM (EST)

The first half of 2025 has introduced new challenges and uncertainty within the health care ecosystem. Between the tariffs, restructuring of HHS, deregulation, Executive Orders, the "One Big Beautiful Bill Act," and proposed 2026 President’s budget, health care providers, payors, manufacturers, and vendors operating in the industry are facing new challenges. Similarly, this uncertainty raises a number of issues and considerations with respect to potential transactions in this space.

As companies, private equity firms, and other investors think about deals, they need to be able to identify, assess, and potentially mitigate and protect themselves from some of these risks.

During this discussion, panelists from Mintz and Marsh will walk through some of the risks and discuss available tools and best practices to address them.

Agenda:

•    Risks and Uncertainty Impacting Health Care Companies and Stakeholders
•    Addressing the Risks Through Diligence
•    Drafting and Addressing Risks through Deal Documents
•    RWI Coverage Considerations and Market Update
•    Addressing D&O risk through the transaction process
•    Impact of Tariffs and tax dynamics on the transaction environment
•    IPO insurance solutions
