The Mintz Private Equity team provides clients with high-touch and tailored advice on their most important business transactions, grounded in commercial realities and backed by industry-leading best practices. We build our teams with a focus on our clients and their specific objectives, covering every aspect of the private equity market, including fundraising and investment fund formation, direct investments, portfolio company management and representation, and platform exits. Our clients include commingled funds, independent sponsors, and family offices from around the world.
Our Experience
Mintz advised DW Healthcare Partners (DW) on the organization of a continuation vehicle to extend DW’s investment in its portfolio company, Med Learning Group, a continuing medical education company, and to provide additional capital to support the company’s further development and growth. The Mintz team was led by Private Equity Co-Chair Greg Fine and Investment Funds Practice Chair Kari Harris with Members Talia Primor and Katya Daniel and assistance from Garrett Galvin, Marine Bouaziz, and Sam Mirkin.
Mintz advised Artemis Capital Partners, a Boston-based private equity firm focused on partnering with differentiated industrial tech companies, on its acquisition of Diamond Antenna and Microwave Corporation, a developer of advanced radio frequency rotary joints and rotating subsystems serving mission critical ground, shipboard, submarine, aircraft, commercial, and space applications.

- We are well-versed in the world of GP-led secondaries, helping investors and fund managers navigate the complexities of the secondary market, whether for buying or selling fund interests, and facilitating smooth transactions.
Direct Investing (M&A)
- We represent both sponsors and sellers in platform and add-on mergers and acquisitions, providing sophisticated legal advice grounded in the commercial realities of our clients.
- Our primary focus is the middle market buy-outs, often involving founder-run businesses, with our industry and regulatory experience pushing us up-market in the Energy & Sustainability, Health Care, and Telecommunications sectors.
Portfolio Companies
- Our Portfolio Company Practice is intentional, and focused on meeting the legal and business needs of private equity-backed companies.

Growth Equity
- A mix of our private equity and venture capital practices, our growth equity practice services financial sponsors as they engage in late-stage minority investments in profitable businesses.
Executive Representation
- We routinely represent Chief Executive Officers and the management teams of target companies being purchased by sponsors. Our representation includes the negotiation and documentation of managements’ rollover investments, rights as a minority shareholder, the terms of subsequent equity incentive grants and employment agreements.
