Revisiting Earnouts During Coronavirus Pandemic

Mintz Member Marc Mantell and Associate Scott Dunberg co-authored an article published in the May 2020 issue of Wolters Kluwer’s Insights: The Corporate and Securities Law Advisor that examined a potential increase in the use of earnouts in mergers and acquisitions, as dealmaking has sputtered in reaction to the coronavirus pandemic. Mintz Associate Troy Nichols also contributed to this article.
In an article published by Massachusetts Lawyers Weekly, Mintz Member and Chair of the firm’s Environmental Law Practice Jeffrey R. Porter was quoted extensively on the U.S. Supreme Court’s April 23 decision in County of Maui, Hawaii v. Hawaii Wildlife Fund, which ruled that the Clean Water Act regulates certain discharges of pollutants flowing through groundwater to the ocean or other navigable waters.
