Alexandra concentrates her practice on capital markets and corporate governance matters, advising public and private companies, underwriters, and investors. She has significant experience handling Securities and Exchange Commission (SEC) registered and unregistered debt and equity offerings, including drafting and negotiating underwriting and purchase agreements, disclosure documents, and legal opinions. Additionally, Alexandra supports clients on mergers and acquisitions (M&A) and financing transactions.
Prior to working at Mintz, she was a senior associate at an international law firm, where she represented underwriting syndicates and issuers in multibillion-dollar public offerings and private placements for clients in the energy, technology, and gaming industries.
Alexandra earned her JD from Fordham University School of Law, where she was a member of the Fordham International Law Journal. Prior to law school, she earned a BA in history from the University of Maryland.

Mintz Advises Synlogic on Merger with Caldera Therapeutics and $278 Million Private Placement Financing

Mintz advised Synlogic, Inc. in its definitive merger agreement with Caldera Therapeutics, Inc. in an all-stock transaction pursuant to which both companies will become wholly owned subsidiaries of a newly formed company that will operate as Caldera Therapeutics, Inc. The transaction is supported by an upsized $278 million concurrent private placement financing from a syndicate of new and existing investors and is expected to close concurrently with the completion of the merger.
