MintzTech Connect: All Things Technology — June 2024

It is summer on the East Coast, kids are out of school, and the fun begins! We hope everyone finds some time to do something different and interesting this summer to recharge their batteries.

We have some excellent content in this edition of MintzTech Connect. We lead off with a summary of the FTC’s new rules relating to post-employment non-competition provisions. While it is unclear if such FTC rules will survive various legal challenges, it is crystal clear that the trend across the country is to limit or eliminate most post-employment non-competition restrictions. The second article is about qualified small business stock (QSBS) and the issues that may arise when converting a company from an LLC into a corporation. The article, which was recently published in The Practical Lawyer, contains important and helpful information for anyone converting an early stage company from an LLC to a corporation and how this conversion may impact tax treatment for QSBS. Our client spotlight is on a company called Radicle Science, which is focused on wellness and AI-powered technologies. Radicle Science was recently named a KPMG Top 10 “Tech Innovator”!

Lastly, we are including a video clip from our recent co-sponsored event with the Sustainable Media Center, which featured a discussion between Jonathan Haidt, author of The Anxious Generation, and well-known podcaster and professor Scott Galloway. The topic discussed is incredibly important and on the minds of parents across the country: how do we mitigate the harm to children and teens from social media and their unfettered access to smartphones?
