Mintz's Energy & Sustainability Group Closes Two Prominent Transactions

BOSTON – Mintz, a legal and business partner to whom energy sector businesses turn for strategies on growth and exit potential, announces the closing of hallmark deals for two clients, BlueWave and Monterey Capital Acquisition Corporation.

Energy & Sustainability Chair, Tom Burton, led the team in the acquisition of BlueWave, a leading Boston-based solar and energy storage developer and certified B Corp., by a fund managed by Axium Infrastructure.

The BlueWave acquisition marked an opportunity for the company to evolve its business model to not only develop, but also build, own, and manage the projects within its development portfolio, driven by the company's belief in the long-term value of community-scale solar. With this, BlueWave will focus on hiring to support the transition to long-term asset ownership and build a team to support ongoing company growth. The acquisition also gives BlueWave the financial security to weather the development market and continue the pursuit of innovative development avenues. 

The firm also represented California-based clean energy Special Purpose Acquisition Company (SPAC), Monterey Capital Acquisition Corporation, in its $92 million initial public offering (IPO) and listing on the Nasdaq Global Market. Monterey Capital is a newly-formed blank check company which will target the clean energy transition market by focusing on businesses that replace current, and dirty, energy transmissions with clean solutions. EF Hutton, division of Benchmark Investments, LLC, acted as the sole book running manager for the offering. Members Tom Burton and Jeffrey Schultz and Associates Mark Nguyen and Jeffrey Cohan served as the deal team.
