Mintz advised Synlogic, Inc. in its definitive merger agreement with Caldera Therapeutics, Inc. in an all-stock transaction pursuant to which both companies will become wholly owned subsidiaries of a newly formed company that will operate as Caldera Therapeutics, Inc. The transaction is supported by an upsized $278 million concurrent private placement financing from a syndicate of new and existing investors and is expected to close concurrently with the completion of the merger.

Mintz has elevated John Koss to serve as the firm's first Chief Innovation & AI Officer, reinforcing Mintz's commitment to responsible AI adoption, practical innovation, and the future of technology-enabled legal services. In this newly created role, he will continue to lead Mintz's E-Data Consulting Group and Knowledge Management and Innovation team while overseeing the firm's innovation strategy, AI investments, and technology initiatives.

Mintz advised the placement agents in connection with the $39 Million private placement that is expected to close in connection with the completion of the merger transaction between Scancell Holdings plc and Neuphoria Therapeutics Inc. The private placement is part of up to $89 million of financing expected to be raised by Scancell in connection with the merger transaction through a combination of equity and debt.
