Alex is a Silicon Valley lawyer who advises investors, operators, founders, and C-suite executives on all aspects of the private equity ecosystem, including capital raising, investing, buying and selling companies, corporate governance, and other business matters. His clients include internationally preeminent technology-focused buyout and growth equity funds, as well as start-ups and emerging growth companies for which Alex acts in an outside general counsel capacity. In addition to his focus on software and technology, Alex has led transactions in a variety of other industries, including real estate, hospitality, food and beverage, media, shipbuilding, manufacturing, and professional services.
Alex regularly advises clients and leads negotiations in mergers & acquisitions, divestitures, carveouts, recapitalizations, and other complex corporate transactions. He is also adept across a wide range of equity financing products and structures – including warrants, SAFEs, convertible notes, and preferred equity – and regularly counsels some of the world’s largest asset managers and private credit funds on structuring minority equity investments.
Alex has represented a wide range of leading middle-market technology-focused investors in numerous platform and add-on acquisitions, divestitures, and minority investments. Mintz represented Sterling Brokers, a leading Canadian benefits brokerage and third-party administrator, in connection with its sale to HGGC, a middle-market private equity sponsor based in Palo Alto. The sale represents an exit event for True Wind Capital, the San Francisco-based private equity firm that invested in Sterling three years ago.
