The Situation

Mintz represented Menlo Equities (Menlo), a private, vertically integrated commercial real estate investment firm, in its acquisition of a portfolio of data center assets (eight properties and an 80% interest in a ninth) from a partnership between an asset management company and a real estate investment company for approximately $487 million. 

The Approach

The acquisition was accomplished through an existing partnership between Menlo and a US pension fund, along with three separate financings. Mintz’s work on this significant matter included, without limitation, strategizing the best approaches to be awarded the deal through a competitive bid process, negotiating the purchase and sale agreements for the fee and interest purchases, negotiating the joint venture for the interest purchase, negotiating numerous loan documents, advising on a number of tax and ERISA matters, analyzing myriad leasing, title, and survey matters, and providing guidance on potential land use developments.

The Outcome

This successful acquisition continues Menlo’s increasing focus on data center assets.
