Mintz Advises Quantum-SI in $1.46 Billion SPAC Merger

Mintz is acting as legal advisor to Quantum-SI Incorporated, a pioneer in next generation semiconductor chip-based proteomics, in its proposed business combination, valued at $1.46 billion, with HighCape Capital Acquisition Corp. (Nasdaq: CAPA), a healthcare-focused special purpose acquisition company (SPAC) sponsored by growth equity investment firm HighCape Capital LP. Upon closing of the transaction, which is expected to take place in the second quarter of 2021, the combined company will be listed on the Nasdaq under the new ticker symbol “QSI”.

Founded in 2013 by scientist and entrepreneur Dr. Jonathan Rothberg – who will serve as Executive Chairman of the combined company – Quantum-SI is focused on revolutionizing the growing field of proteomics. The company’s suite of technologies are powered by a first-of-its-kind semiconductor chip designed to sequence proteins, and digitize proteomic research in order to advance drug discovery and ultimately diagnostics beyond what has been possible with DNA sequencing.

Separately, Mintz recently advised Butterfly Network, Inc. (NYSE: BFLY), an innovative digital health company also founded by Dr. Rothberg, in its $1.5 billion merger with Longview Acquisition Corp. (NYSE: LGVW), a SPAC sponsored by Glenview Capital Management, LLC, which was completed earlier this week.
