Michael is a seasoned Venture Capital and Emerging Companies attorney who advises high-growth businesses, venture capital firms, corporate venture capital programs, strategic investors, and boards throughout the business life cycle — from formation and venture financings through strategic transactions, public offerings, and public company operations. He serves as outside counsel to innovation-driven companies across the technology, energy transition, renewable energy, and life sciences sectors, as well as venture capital firms, investment banks, and financial advisors.
Michael’s practice spans a broad range of corporate and transactional matters, including mergers and acquisitions, securities offerings, commercial agreements, and corporate governance. He also advises boards and executive teams on SEC reporting, disclosure obligations, and stock exchange compliance.
Over the course of his career, Michael has represented companies and investors in hundreds of private financings, numerous public offerings, and transactions ranging from mergers and acquisitions to joint ventures and cross-border deals. Before entering private practice, he worked as a CPA at a Big Four accounting firm, providing audit and business consulting services to management teams and boards while honing a practical understanding of the financial and operational challenges faced by growing businesses.
