Stephen is engaged in the general practice of commercial real estate law, both nationally and locally, including sale/leaseback structuring and implementation; office leasing; development, construction, redevelopment, and leasing of data centers, distribution centers, high-rise residential buildings and shopping centers; retail, office and data center leasing, sales, acquisitions and financings of commercial properties; and financial restructurings for developers and other property owners.

He also focuses on the interdisciplinary practice area defined by the intersection of real estate and communications law, which includes the development, financing and leasing of data centers, switch facilities, colocation facilities, radio and television broadcast antennas, distributed and in-building antenna systems, rooftop antennas, and wiring of buildings for broadband communications access.

Stephen is the co-head of the firm's interdisciplinary sale/leaseback practice, including both single and large scale sale/leaseback transactions.

Stephen also represents clients in obtaining and implementing government incentives and other aspects of public private partnership development nationwide.

In addition, he has extensive experience in the shopping center industry and served as in-house counsel to a major shopping center developer in the acquisition, sales, development, and leasing of numerous shopping center properties.

Stephen has lectured on various issues concerning sale-leasebacks, data centers, office leasing; and on a number of topics regarding shopping center financing, development and leasing.

Representative Matters


  • Representation of a public company retailer in a multi-property sale/leaseback that is the 50th such project for such client.
  • Representation of a retail client in the acquisition and development of an 850,000 square foot distribution center in Kansas City, Missouri, obtaining and implementing governmental incentives and other benefits and structuring a follow-on sale/leaseback.
  • Representing a medical group in the structuring a sale/leaseback for seven medical office and ambulatory surgery buildings.
  • Representing a refinery and retail gas/station convenience store company in the sale/leaseback of its gas station/convenience stores.

Data Centers

  • Redevelopment, financing and leasing of a data center in Rockland County, New York.
  • Representation of a data center owner in its financing, acquisition and development of data centers in San Francisco, Chicago, North Carolina and Toronto.

Construction and Development

  • Representation of a client in the construction management and related contracts, and in the construction financing for the development of three high-rise residential buildings in Williamsburg, Brooklyn.
  • Representation of a public company retail client in the construction contracts related to the development of two large (750,000+ square feet) distribution centers.
