
Cliff’s practice focuses on corporate and securities matters, with an emphasis on securities offerings, venture capital, and corporate governance.
Cliff regularly represents both issuers and investment banking firms in a broad range of capital markets transactions, including IPOs, follow-on offerings, ATM offerings, and PIPEs. Cliff also counsels clients on their compliance and disclosure obligations under the U.S. securities laws, corporate governance best practices, Nasdaq and NYSE listing rules, and other matters affecting publicly-traded companies.
Additionally, Cliff represents start-ups and emerging companies, venture funds, private equity investors, and family offices in private securities transactions, including early and late-stage equity financings, convertible debt, and other structures. As an advisor to start-ups and emerging companies, Cliff provides day-to-day counseling and strategic advice, and regularly counsels clients on all issues and transactions that arise during a company’s lifecycle, such as those involving strategic alliances, technology transactions, and exit/M&A.
Cliff is actively involved in the New York start-up community, and he frequently speaks to local incubators and accelerators on topics such as entity formation and seed/angel/venture investing.
Cliff’s pro bono experience includes representing indigent parties in the Bronx County Family Court, as well as helping not-for-profit clients to obtain federal tax exempt status.
Prior to joining Mintz, Cliff was an associate in the New York office of another international law firm, where he gained experience in all aspects of litigation, including in matters involving the fiduciary duties of officers and directors, class actions under the U.S. securities laws, and regulatory investigations.
After law school, Cliff served as a foreign law clerk to Justice Eliezer Rivlin of the Supreme Court of Israel.
