Ivan is a corporate and securities attorney who steers all types of deals and capital markets transactions work for underwriters, companies, and investors. He skillfully represents parties in a panoply of critical business transactions, including initial and follow-on public offerings, private investment in public equity (PIPE) transactions, mergers and acquisitions, and equity and debt financings. Public companies also seek his guidance on issues such as compliance and corporate governance matters and SEC disclosure requirements. Although he devotes much of his practice to the life sciences sector, his client roster also includes technology and consumer product companies.
Ivan’s practice focuses on corporate and securities law matters, primarily for life sciences and technology companies. Ivan has represented public and private companies, underwriters, venture capital funds, angel investors, and other parties in a broad range of transactions, including initial and follow-on public offerings, mergers and acquisitions, and equity and debt financings.
Ivan also devotes a significant portion of his practice to counseling public companies with respect to SEC disclosure, compliance, and corporate governance matters.
He also has extensive experience with negotiating stock and asset purchase agreements, employment and consulting contracts as well as stockholder, partnership, joint venture, and limited liability company agreements. Ivan regularly handles all aspects of corporate formation, license and distribution agreements, outsourcing, asset purchase, stock purchase and merger agreements, and other general corporate matters.
During law school, he was a member of St. John’s Law Review.
