
Jocelyn focuses her practice on general corporate matters, including governance, mergers and acquisitions, and other corporate transactions. She works with companies in a variety of industries, including real estate and financial services.
Prior to joining Mintz, Jocelyn served as a legal intern at a leading San Francisco law firm, conducting due diligence for corporate and real estate acquisition deals and writing memoranda for corporate, tax, and estate planning issues.
While earning her JD, Jocelyn served as editor-in-chief for the Pacific Basin Law Journal and was a member of the Asian and Pacific Islander Law Student Association and the Business Law Association.

Mintz Advises Oppenheimer & Co. and Initial Purchasers in $475M Convertible Senior Notes Offering by WisdomTree

Mintz represented Oppenheimer & Co., as sole book-running manager, and Craig-Hallum Capital Group and Northland Securities, as co-managers, in the private placement of $475 million aggregate principal amount of 4.625% Convertible Senior Notes due 2030 issued by WisdomTree, Inc (NYSE: WT) (“WisdomTree”). The notes were sold to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933.
Mintz advised the underwriters in connection with the $173 million public offering by Ondas Holdings Inc. of 53,084,000 shares of its common stock, which includes 6,924,000 shares of common stock sold pursuant to the exercise in full by the underwriters of their option to purchase additional shares of common stock.
Mintz advised the underwriters in connection with a $230 million public offering by Cogent Biosciences, Inc. of 25,555,556 shares of common stock, which includes 3,333,333 shares issued pursuant to the exercise in full by the underwriters of their option to purchase additional shares of common stock, offered at a public offering price of $9.00 per share. The aggregate gross proceeds to Cogent from this offering were approximately $230 million, including proceeds from the exercise in full by the underwriters of the option to purchase additional shares, before deducting underwriting discounts and commissions and other offering expenses.
Mintz advised ArriVent BioPharma, Inc., a clinical-stage biopharmaceutical company dedicated to the identification, development, and commercialization of differentiated medicines to address the unmet medical needs of patients with cancers, on a $75 million underwritten public offering of 2,482,692 shares of its common stock and pre-funded warrants to purchase up to 1,363,469 shares of its common stock. The common stock is listed on The Nasdaq Global Market under the symbol “AVBP.“
