Leah represents clients in M&A transactions and advises clients on business formation, restructuring, dissolution, and other general corporate matters. She also counsels clients on compliance with securities laws and corporate governance, prepares and files Securities Exchange Act filings, and represents clients in securities offerings.
Leah’s experience includes representing both public and private clients in acquisitions, mergers, restructurings, joint ventures, private equity and venture capital investments, and other complex contractual arrangements. Leah also has experience representing public company clients in the preparation and review of periodic reports, annual meetings, and corporate governance matters. She has counseled NYSE and NASDAQ companies on securities law compliance matters, and assisted in representing NYSE-listed companies in initial public offerings and registered direct offerings. Leah has regularly drafted and negotiated commercial contracts for clients in various industries. Further, Leah has represented several nonprofit clients in corporate formation and governance matters.
Prior to joining Mintz, Leah was an associate in the Kansas City office of a large national law firm, where she was part of the corporate, securities, and M&A practice group and the health care, life sciences, and education industry team.
While in law school, Leah interned at the US Attorney’s Office, District of Kansas, and interned for the Honorable Dean Whipple at the US District Court for the Western District of Missouri. She also served as the lead literary editor of the University of Missouri – Kansas City Law Review and as a research editor and staff member of The Urban Lawyer.
