Elizabeth's practice focuses on fashion law, private equity and hedge fund formation, insurance and mergers and acquisitions. Her work within the fashion industry includes, but is not limited to, trademark, licensing and other intellectual property-related issues, supplier management, manufacturer negotiations, publisher contract negotiations, employment, import / export issues, privacy, real estate negotiations, technology concerns and corporate structuring and restructuring. Her work in fund formation includes advising investment banks, financial institutions and boutique firms as sponsors of leveraged buyouts, international private equity, mezzanine, merchant banking and other private investment funds. She has actively participated in the development of the market terms and fund-raising strategies, the preparation of offering materials and the negotiation of the definitive documents for these investment funds. Elizabeth has also counseled clients of all sizes in matters related to corporate governance, indemnification, fund management, insurance, bribery and corruption in both the corporate and litigation context. Her mergers and acquisitions experience includes representing multinational companies in both domestic and cross border transactions.

Representative Matters

  • Successfully negotiated licensing, manufacturing and talent contracts for a celebrity fashion designer for jewelry and apparel with HSN, Inc.
  • Represented a New York-based jewelry designer, in a copyright infringement matter against Forever 21, obtaining a favorable settlement.
  • Represented a sponsor group in connection with its organization of four offshore investment funds and the sales to US and foreign investors of limited partner interests with initial aggregate commitments in excess of $2.8 billion
  • Represented a Mexican sponsor in connection with the structuring and formation of a $160 million private equity fund, the first of which to access Mexico's public markets, tapping domestic institutional investors such as pension funds
  • $3.4 billion transactions with GLG Partners to access public markets through a reverse acquisition with Freedom Acquisition Holdings, Inc.
  • $4.85 billion stock purchase of Bluestone Industries, Inc. by Mechel Mining OAO
