Representative Experience

  • Long-term representation of one of the nation’s largest owners, managers, and developers of first-class office space. Representation includes work in connection with its office and retail leases in seven major Class A office towers in Manhattan.
  • Representation of a group of leading privately held real estate investment funds in more than 150 acquisitions and dispositions totaling over $4 billion, and in over 500 leasing transactions.
  • Representation of a national retailer in sale and leaseback transactions involving more than 2,400 of the company’s retail properties located in over 40 states with an aggregate value in excess of $9 billion. We oversee all aspects of these transactions, including deal structuring, negotiating and drafting the acquisition, leasing and other transaction documentation, managing the land use and environmental diligence process, and overseeing the related securities law matters. Our attorneys have also handled acquisitions and ground leases in many states.
  • Representation of a major manufacturer in its acquisition of a 90-acre site in Devens, Massachusetts, for the development of a $1.1 billion, state-of-the-art biologic manufacturing facility.
  • Long-term engagement as principal outside counsel for a Fortune 500 high-tech company in the direct negotiation of domestic real estate transactions and in supervising various local firms for the leasing and acquisition of over 5 million square feet of corporate facilities in the United States, Canada, Europe, and Asia. As with many of our corporate facility clients, we actively participate in all phases of this company’s acquisition transactions, from broker retention and deal structuring through the documentation and verification of completion of the construction process.
  • Representation of a large state teachers’ retirement system in a joint venture for the development, financing, master leasing, and ultimate sale of the new State Street Bank headquarters in Boston’s Financial District.
  • Representation of a national discount clothing retail chain in Chapter 11 issues, including divestiture of surplus real estate, going concern Section 363 sales of assets and leases, and assignment and assumption of real estate leases.
