Ken focuses on general corporate representation and transactions, including public and private equity and debt security financings, mergers and acquisitions, joint ventures and strategic alliances, and venture capital financings.

His experience includes representation of both issuers and investment banking firms in numerous public and private securities offerings, as well as buyers, sellers, and financial advisors in a variety of public and private business combinations.

In addition to more routine public and private financings, Ken is particularly experienced in developing and implementing unusual alternative public offering and acquisition structures, including SPACs, POOFs, reverse mergers, change of control PIPEs, and other unconventional approaches to financing and business combinations.

Ken has completed numerous international transactions, including counseling clients in recent acquisitions involving targets in Europe and South America, and financings for Greek, Korean, Chinese, Brazilian, and UK-based companies.

Ken’s clients are involved in a broad range of business areas, including shipping and logistics, telecommunications, new media, high technology and Internet services, biotechnology, traditional manufacturing, wholesale and retail, computer software, electronics, consumer products, sports, and entertainment. He is also regularly engaged by emerging-growth companies for pre-public offering counseling.

He has deep relationships within the international investment community enabling him to identify synergies between his clients and investment bankers, venture capitalists, and other sources of financing.
