Rachel counsels private investment funds, investment advisers, and early-stage companies in a broad range of matters including fund formation, corporate governance, securities offerings, direct investments, and regulatory compliance. For early-stage companies, Rachel represents both companies and investors in venture capital financing transactions. She also advises in the formation and operation of startup incubators and accelerators. In her investment funds practice, she counsels investment advisors with respect to fund formation and regulatory compliance. Her general corporate and securities practice spans multiple industries, including life sciences, clean energy, FinTech, and social impact.


Committed to pro bono initiatives throughout her legal career, Rachel has contributed substantial research and writing to multiple successful applications for asylum through Mintz’s pro bono program and provides ongoing corporate legal support to pro bono non-profit clients.
