
Talia’s practice focuses on the organization and operation of private investment funds, including private equity, venture capital, hedge funds, and other special purpose investment vehicles. She represents a broad range of private investment fund sponsors, from emerging and middle-market firms to large institutional managers, across investment strategies and industries. Her work also includes advising sponsors on co-investments and continuation vehicles.
Talia advises private funds and their general partners, management companies, and related entities on all aspects of their operations, including drafting governing agreements, preparing offering materials, advising on fundraising, negotiating with investors, reviewing commercial contracts, and counseling on securities law and other regulatory matters. She regularly provides strategic advice to senior management of asset managers on fund operations, organizational matters, and growth strategies. In addition, she has significant experience counseling the advisers of private funds on the structuring, documentation, and offering of both U.S. and non-U.S. funds, including the launching of master-feeder and parallel fund structures.
On the investor side, Talia represents U.S. and non-U.S. institutional investors, endowments, family offices, and fund-of-funds in private fund investments. Her work spans a range of fund strategies and asset classes, including sector-specific, multi-strategy, and opportunistic funds. She negotiates side letters, evaluates fund terms, and advises on governance and liquidity rights to protect investor interests.
Talia is experienced in complex financings and restructurings involving asset managers, drawing on her broad experience across the private investment fund ecosystem. Her practice integrates deep knowledge of securities laws, investor market trends, and fund regulation to deliver practical, strategic guidance in a dynamic regulatory environment.
