Poonam Patidar is a distinguished leader in public finance law, known for her deep expertise in municipal bond transactions and her commitment to advancing the legal profession. With a career spanning almost two decades, she has built a reputation for providing strategic counsel to public and private sector clients on complex financing matters. Her leadership extends beyond her legal practice, as she actively champions initiatives that strengthen professional networks within the legal community, including in her role on the Board of Governors for the National Federation of Municipal Analysts and as President of the Women in Public Finance – Boston Chapter.
Poonam’s practice spans all facets of the public finance industry, serving as bond counsel, borrower’s counsel, underwriter’s counsel, trustee’s counsel, and purchaser’s counsel. Poonam regularly acts as bond counsel, borrower’s counsel, and underwriters’ counsel for new issues of revenue bonds and special obligation bonds. Her clients include a wide range of government entities, quasi-governmental agencies, non-profits and investment banks. She also serves as disclosure counsel to a state-level issuer and general counsel to a quasi-governmental agency managing a state revolving fund for infrastructure investment.
Poonam is also widely recognized for her work representing bondholders, investors, and indenture trustees with respect to their investments in private placements and high yield transactions and in workouts and restructurings. She advises on legal strategies to restructure debt, maximize recovery, and mitigate losses through out of court and bankruptcy avenues.
Known for her creative problem-solving and deep industry insight, Poonam has designed legal frameworks for innovative bond programs tailored to address complex financing needs. Her ability to navigate regulatory requirements and structure effective solutions makes her a trusted advisor in public finance transactions.
As Chair of the Mintz Alumni Program, Poonam oversees a robust network that offers continuing legal education (CLE), webinars, networking events, and career development resources—strengthening connections across the Mintz community.
Experience
- Represented The Commonwealth of Massachusetts as both bond counsel and disclosure counsel for issuance of its General Obligation Bonds, Consolidated Loan of 2025, Series E and Series F. This $750,000,000 new money transaction financed hundreds of projects across the Commonwealth. As disclosure counsel, ensured the Commonwealth outlined its economic and budget risks as well as identifying certain exposures resulting from shifts in federal policy and agenda.
- Represented the Massachusetts Clean Water Trust as both bond counsel and outside general counsel for the issuance of nearly $543 million in State Revolving Fund Bonds Series 26A (Green Bonds), Revolving Fund Bonds Series 26B (Sustainability Bonds), and State Revolving Fund Refunding Bonds, Series 2025 (Green Bonds). These Environmental, Social, and Governance (ESG)-rated tax-exempt bonds finance clean water and drinking water infrastructure projects by local municipalities and drinking water providers across Massachusetts.
- Representing the Massachusetts State College Building Authority as bond counsel in the issuance of its Project and Refunding Revenue Bonds (State University Program) Series 2025A. The $50 million in bond proceeds will fund renovations to buildings at the Massachusetts Maritime Academy and on campus apartments at Westfield State University.
- Advised the Indenture Trustee in connection with The Amsterdam at Harborside, a Continuing Care Retirement Community (CCRC) located in New York, with respect to bond obligations exceeding $225 million.
- Represented the Bond Trust with respect to Park Place Christian Community of Elmhurst Project, a CCRC located in Illinois, concerning bond obligations totaling more than $130 million.
